In these general terms and conditions, the company WEBISION s.r.o. is referred to as the “Provider” and the person who orders the services as the “Customer”.
2. Scope of Application
2.1. These general terms and conditions (hereinafter the “T&C”) govern the relations between the Provider and the Customer in the provision of digital and related services.
2.2. The T&C apply in particular to:
- the creation, modification and management of websites,
- the creation and operation of e-shops,
- programming and development of software solutions,
- the development and modification of web applications, modules and integrations,
- graphic work and the creation of digital materials,
- SEO, technical optimisation and related consulting services,
- the migration of websites and data,
- the registration and management of domains,
- web hosting, maintenance and technical support,
- other services stated in the price quotation or order.
2.3. The specific scope of the service, the price, the delivery date and other special terms are determined by the price quotation, the order, the contract or another demonstrable agreement between the parties.
2.4. If individually agreed terms differ from these T&C, the individually agreed terms prevail to the extent that they expressly differ from the T&C.
2.5. If the Customer is a consumer, the provisions of these T&C apply only to the extent that they are consistent with the mandatory legal regulations on consumer protection.
3. Order and Conclusion of the Contract
3.1. Cooperation begins on the basis of an enquiry, a consultation or an order from the Customer.
3.2. Before preparing a price quotation, the Provider may ask for additional information, technical requirements, materials or project objectives.
3.3. Depending on the nature of the project, the price quotation contains in particular the scope of work, the price, the expected delivery date, the number of rounds of revisions included and any recurring fees.
3.4. The contract is concluded in the manner agreed between the parties, in particular by confirmation of the price quotation, acceptance of the order, signing of the contract or electronic confirmation of the order.
3.5. The Provider is entitled to refuse an order if, for technical, capacity, security or legal reasons, it cannot properly carry it out.
4. Price and Payment Terms
4.1. The price of the service is determined individually according to the scope, complexity and requested delivery date. The approved price quotation or contract is decisive.
4.2. The Provider is not a VAT payer. VAT is therefore not added to the agreed price, unless the Provider’s legal and tax status changes.
4.3. Unless otherwise agreed, the following payment model applies to custom orders:
- 50 % of the agreed price as an advance payment before work begins,
- 50 % after completion and before the final handover of the project.
4.4. For smaller orders, recurring services, subscriptions or projects with a special schedule, a different method of payment may be agreed.
4.5. Invoices are payable within the period stated on the invoice. Unless otherwise agreed, the standard due period is 7 calendar days.
4.6. Where an advance payment has been requested, the Provider may begin implementation only after the agreed advance payment has been credited to its account.
4.7. The costs of domains, hosting, paid licences, external services, advertising budgets and other third-party items are included in the price only if the price quotation expressly states so.
4.8. If the Customer is late with payment, the Provider may, after prior notice, reasonably suspend the work or the provision of services until the outstanding amount is paid. This does not affect the statutory rights of the parties.
4.9. If the Customer requires work beyond the scope of the approved quotation, the Provider will inform the Customer in advance of the additional price or of the method of calculating it. Additional work is carried out after approval.
5. Delivery Date and Cooperation
5.1. The delivery date is set individually in the price quotation or the contract.
5.2. Unless otherwise agreed, the implementation period starts to run once all of the following conditions have been met:
- approval of the project scope,
- payment of the agreed advance payment,
- delivery of the necessary materials and access credentials,
- provision of other necessary cooperation by the Customer.
5.3. The Customer is obliged to provide correct and complete materials, texts, photographs, logos, access credentials and other information needed to carry out the project.
5.4. If the Customer is late in delivering materials, decisions, comments or approvals, the delivery date is postponed accordingly by the length of the delay and by the time needed to reschedule the work.
5.5. The Provider will inform the Customer of circumstances that may materially affect the agreed date.
5.6. Unless a fixed deadline has been expressly agreed, an indicative date is not a guarantee of delivery on a specific day.
6. Scope of Work and Rounds of Revisions
6.1. The Provider carries out the work within the scope approved in the price quotation or the contract.
6.2. Unless the price quotation provides otherwise, the price of the project includes two rounds of revisions after the draft or a functional version of the project has been presented.
6.3. One round of revisions means one consolidated list of comments delivered by the Customer on the version presented.
6.4. Revisions within the included rounds must remain within the limits of the originally agreed brief. A change of concept, additional functions, new pages, further language versions, extensive reworking of an already approved draft or a change of the technical solution may be considered work beyond the scope of the quotation.
6.5. Work beyond the agreed scope is charged according to a separate price quotation or the agreed hourly rate.
6.6. The Customer is obliged to provide comments and approvals within a reasonable period. A prolonged failure to provide feedback may lead to interruption of the implementation and to a postponement of the date.
6.7. By approving a specific phase of the project, the Customer confirms that it had the opportunity to review the draft. This does not affect rights arising from latent defects or the mandatory rights of a consumer.
7. Handover and Acceptance of the Project
7.1. The project is handed over in the manner agreed in the quotation, for example by making the website available, handing over files, providing administrator access or deploying to the production environment.
7.2. After handover, the Customer is obliged to check the project and to notify any deficiencies found without undue delay.
7.3. If the Customer finds that the project handed over does not correspond to the agreed brief, it will notify the Provider of the specific deficiencies, including how they can be reproduced.
7.4. Taking over the project or putting it into operation does not mean a waiver of rights arising from latent defects or of other rights that the law grants to the Customer.
7.5. If, after handover, the Customer requires new functions or changes to the brief, such work is assessed separately.
8. Copyright and Licence
8.1. In the creation of websites, graphics, software and other deliverables, copyright works or other objects of intellectual property rights may arise.
8.2. The scope of the Customer’s entitlements to individual deliverables is governed by the contract, the price quotation, a separate licence agreement and the relevant legal regulations.
8.3. Unless otherwise agreed, the Customer acquires the right to use the finally handed-over deliverables for the agreed purpose after the agreed price has been paid in full. If a licence or other authorisation is needed to use a deliverable, the Provider will procure or grant only those authorisations that it may grant under the law and the licence terms.
8.4. If the Customer is to obtain an exclusive licence, the right to modify the source code, the right of resale or other extended entitlements, these rights must be expressly agreed.
8.5. Until the project has been handed over and the price paid in full, the Customer is not entitled to use unpaid deliverables beyond the legal title that has already arisen for it.
8.6. A project may include tools, libraries, frameworks, templates, plugins, fonts, photographs, graphic elements and other third-party components. Their use is governed by the relevant licences and the terms of their providers.
8.7. The Provider retains the rights to its own generally usable tools, libraries, procedures, modules and know-how that it created independently of a specific project or that are not the subject of an express transfer or licence.
8.8. The handover of source code, development files, internal tools or editable source materials forms part of the delivery only if this was expressly agreed.
8.9. The project will be used in the Provider’s references or portfolio only to the extent permitted by agreement of the parties and by the relevant legal regulations. If special permission is needed, the Provider will request it.
9. Hosting, Domains and Third-Party Services
9.1. Hosting, domain registration, email mailboxes, SSL certificates, paid plugins, APIs and other third-party services form part of the delivery only if they are stated in the price quotation or a separate agreement.
9.2. If the Provider arranges hosting or domain management, the specific parameters, the price, the period of provision and the renewal terms are determined by the relevant quotation or contract.
9.3. Where possible, the domain is to be registered to the Customer as the holder. If, for technical or organisational reasons, it is managed through the Provider, the terms of access, transfer and management will be agreed separately.
9.4. The Provider cannot guarantee uninterrupted availability of services whose operation depends on external providers, networks, registrars or cloud infrastructure. In the event of an outage, it will endeavour to provide reasonable cooperation in restoring the service within the agreed scope of support.
9.5. Unless otherwise agreed, recurring fees for hosting, domains, licences and external services are charged separately.
9.6. The termination of hosting or domain management does not automatically result in the transfer of all third-party licences or the handover of components for which the Provider has no right to grant further authorisations.
10. Warranty, Defects and Technical Support
10.1. The Provider is liable for ensuring that the delivered work or service corresponds to the agreed scope and properties in accordance with the relevant legal regulations.
10.2. If so agreed in the price quotation, the Provider provides contractual warranty or service support for the parts of the project that it delivered itself and is lawfully entitled to modify, to the extent and for the duration stated in the quotation.
10.3. Unless the price quotation provides otherwise, the Provider provides a period of 30 days from the handover of the project for the removal of reproducible errors caused by its own implementation. This provision does not limit statutory liability for defects or the rights of a consumer.
10.4. Defects are not considered to include, in particular, requests for new functions, changes to the brief, design changes after approval, errors caused by unauthorised interference by a third party, incorrect configuration on the Customer’s side or changes to external services, where the Provider is not responsible for them under the law or by agreement.
10.5. The Customer is obliged to notify a defect without undue delay after discovering it and to provide the information needed to investigate it.
10.6. Technical support, regular maintenance, updates, security monitoring and further development of the project are not automatically included in the one-off price unless expressly agreed.
10.7. In resolving a defect, the Provider may require temporary access to the administration, a test environment or other reasonable cooperation.
11. Complaints and Exercise of Rights in Respect of Defects
11.1. The Customer may send a complaint or a notice of a defect to the email address info@webision.sk or in writing to the address of the Provider’s registered office.
11.2. The notice should contain the identification of the Customer, the identification of the project, a description of the defect, the time of its occurrence and, where possible, a screenshot or the steps needed to reproduce it.
11.3. The Provider will confirm receipt of the complaint and, depending on the nature of the matter, will assess whether it is justified. If additional information is needed, it will request it from the Customer.
11.4. In the case of a justified complaint, the Provider will propose a reasonable remedy in accordance with the contract and the applicable legal regulations.
11.5. If the Customer is a consumer, the handling of the complaint and the exercise of the consumer’s rights are governed by special statutory rules. These T&C do not shorten statutory periods or restrict the rights of a consumer.
11.6. A complaint does not entitle the Customer to withhold all payments irrespective of the nature of the defect and the relevant legal regulations.
12. Obligations of the Customer and Website Content
12.1. The Customer is responsible for the accuracy, currency and lawfulness of the materials, data, texts, photographs, logos, databases and other content that it provides for processing or publication.
12.2. The Customer declares that it has the necessary rights or consents to use the materials provided.
12.3. The Customer is responsible for the content of its website, e-shop and business communication, including the correctness of prices, terms and conditions, product information, complaints rules and mandatory legal information, unless their preparation was separately agreed.
12.4. If the Provider prepares texts, legal documents or content with the help of automated or generative tools, the Customer is obliged to review and approve the outputs before use. Automatically generated content does not, without a separate agreement, constitute legal, tax or other professional advice.
12.5. The Customer must not use the delivered solutions for unlawful activity, the distribution of malicious code, the infringement of third-party rights or any other conduct contrary to legal regulations.
13. Liability for Damage
13.1. Each party is responsible for its obligations to the extent arising from the contract and the applicable legal regulations.
13.2. The Provider is not liable for damage caused by incorrect or incomplete materials from the Customer, interference by third parties, the unavailability of external services or circumstances that it could not reasonably influence, unless it is liable for the damage in question under the law.
13.3. The Provider does not guarantee any specific business result, level of revenue, number of visitors, ranking in search engines or success of advertising campaigns, unless such a result was expressly and validly agreed.
13.4. Nothing in these T&C excludes or limits liability to the extent that legal regulations prohibit this, nor the rights of a consumer.
14. Suspension and Termination of Cooperation
14.1. The contract may be terminated by agreement of the parties or in another manner provided for by the contract or the relevant legal regulations.
14.2. If, after work has begun, the Customer requires it to be stopped, the parties will settle the work already performed, approved costs and other claims in accordance with the contract and the law.
14.3. After giving notice, the Provider may reasonably suspend implementation if the Customer does not provide the necessary cooperation, does not pay invoices that are due or requires unlawful performance.
14.4. For recurring services, hosting or subscriptions, the notice period, the method of cancellation and the renewal terms are governed by the specific contract or order. If the Customer is a consumer, the relevant statutory rules also apply.
14.5. After the cooperation ends, the parties will agree on the settlement of access credentials, data, files and licences that can be handed over under the contract and legal regulations.
15. Withdrawal from the Contract by a Consumer
15.1. If the Customer is a consumer and the contract was concluded at a distance or away from the Provider’s business premises, the Customer may have the right to withdraw from the contract within the statutory period and under the statutory conditions.
15.2. The period, the conditions and the exceptions to the right of withdrawal are assessed according to the nature of the contract and the legal regulations currently in force.
15.3. If a consumer asks for the provision of the service to begin before the withdrawal period has expired, the Provider will first inform the consumer of the statutory consequences and will obtain the necessary express consents or confirmations.
15.4. The mere start of the creation of a website or digital deliverable does not mean an automatic loss of the consumer’s right to withdraw from the contract. Any loss or restriction of this right is assessed according to the specific statutory regime and the fulfilment of the statutory conditions.
15.5. If the right of withdrawal is applicable, the consumer may send the notice to info@webision.sk or to the Provider’s postal address. It is recommended to state the identification of the contract or order.
16. Personal Data Protection
16.1. The Provider processes personal data in accordance with the applicable legal regulations on personal data protection.
16.2. Detailed information on the processing of personal data, the purposes, the legal bases, the retention period and the rights of data subjects is set out in a separate document, the “Privacy policy”, published on the Provider’s website.
16.3. If, in providing the services, the Provider processes personal data on behalf of the Customer, the parties will conclude an appropriate data processing agreement or other required agreement, where legal regulations so require.
17. Alternative Dispute Resolution and Consumer Rights
17.1. The parties will endeavour to resolve disputes primarily through mutual communication and agreement.
17.2. If the Customer is a consumer and the dispute cannot be resolved directly, the Customer may use the statutory options for alternative resolution of consumer disputes with the competent body under the applicable legal regulations.
17.3. Information on the competent alternative dispute resolution body and the current procedure for filing a request will be made available in accordance with the statutory information duties.
17.4. This does not affect the right of the parties to turn to the competent court.
18. Final Provisions
18.1. These T&C are to be interpreted in accordance with the legal order of the Slovak Republic.
18.2. If any provision of these T&C becomes invalid or unenforceable, this does not automatically affect the validity of the remaining provisions, unless legal regulations provide otherwise.
18.3. The Provider may update the T&C. For a specific contract already concluded, the version of the T&C that became part of it applies, unless legal regulations or an agreement of the parties provide otherwise.
18.4. The current version of the T&C is published on the website https://www.webision.sk/.
18.5. These T&C take effect on 16 October 2026.

Annex 1 – Special Terms of the Oltamio Service
This annex forms part of the T&C and applies to orders placed on the oltamio.com website (a website produced from a selected fixed-price template). As a special agreement of the parties, in the case of the Oltamio service it takes precedence over the general provisions of the T&C (point 2.4).
1. Subject matter. The service consists of producing a website according to the template selected by the Customer, within the scope and with the data that the Customer specified in the order (the selection of items and the Project brief).
2. Previews. Demo previews serve to present the appearance and functions of the template. The texts, images and data in the previews are illustrative. The final website will be created according to the Customer’s Project brief.
3. Price. The price is the amount labelled “Total” in the order at the moment it is submitted. It is calculated by the Provider’s server from the price list valid at that moment, and the Customer sees it before submitting. A change to the price list does not affect an order already submitted. The price changes only if the scope changes (points 6.4 and 6.5 of the T&C). Prices are stated and payable in euros; conversions into other currencies shown in the previews are indicative only and are not the price. The Provider is not a VAT payer (point 4.2 of the T&C).
4. Conclusion of the contract. By submitting the order, the Customer proposes to conclude a contract. The contract is formed when the Provider confirms the order by email (points 3.4 and 3.5 of the T&C). Before submitting, the Customer is clearly informed that the order entails an obligation to pay.
5. Payment. Unless otherwise agreed in the order confirmation, payment is made in accordance with point 4.3 of the T&C: 50 % of the price by advance payment invoice before work begins and 50 % after completion before the final handover. The due date is determined by point 4.5 of the T&C. The Provider begins work after the advance payment has been credited (point 4.6 of the T&C).
6. Revisions and defects. The price includes two rounds of revisions (point 6.2 of the T&C). For reproducible errors caused by the Provider’s own implementation, a period of 30 days from handover applies (point 10.3 of the T&C), without prejudice to the Customer’s statutory rights.
7. Hosting and domains. Hosting, a domain, email mailboxes, licences and third-party services are not included in the price until they are stated in the order or in its confirmation (points 4.7 and 9.1 of the T&C).
8. Rights to the work. The template, including its code and graphics, is the work of the Provider. After the price has been paid in full, the Customer acquires the right to use the handed-over website for the agreed purpose (point 8.3 of the T&C). An exclusive licence and the handover of the source code form part of the delivery only if they were expressly agreed (points 8.4 and 8.8 of the T&C).
9. Consumers. Information on the consumer’s right to withdraw from the contract, on complaints and on alternative dispute resolution is available on the page Information for consumers.
